ভূমিকা

Texud.com (“আমরা”, “আমাদের”, “Texud”)-এ আপনাকে স্বাগতম। এই ওয়েবসাইট, মোবাইল বা অন্যান্য চ্যানেল (একত্রে “প্ল্যাটফর্ম”) ব্যবহার করার মাধ্যমে আপনি এ শর্তাবলীতে সম্মতি দিচ্ছেন। আপনি যদি সম্মত না হন, দয়া করে প্ল্যাটফর্ম ব্যবহার করবেন না। আমরা পূর্বঘোষণা ছাড়াই যে কোনো সময় এই শর্তাবলী আপডেট করতে পারি; সর্বশেষ সংস্করণটি প্ল্যাটফর্মে প্রকাশিত হলেই কার্যকর হবে।

সংজ্ঞা

গ্রাহক/আপনি: যিনি Texud থেকে পণ্য/পরিষেবা ক্রয় করেন।
কাস্টম পণ্য: আপনার লোগো/ডিজাইন/নির্দেশনা অনুযায়ী তৈরিকৃত পণ্য।
স্ট্যান্ডার্ড পণ্য: Texud-এর রেডিমেড/ব্ল্যাঙ্ক বা ব্র্যান্ডেড পণ্য।
ডিজাইন অ্যাসেট: লোগো, আর্টওয়ার্ক, টেক্সট, ব্র্যান্ড গাইডলাইন, রঙ কোড।
প্রুফ/মকআপ: উৎপাদনের আগে আপনার অনুমোদন-সাপেক্ষ ভিজ্যুয়াল/স্পেক স্যাম্পল।

ব্যবহারকারী অ্যাকাউন্ট, পাসওয়ার্ড ও নিরাপত্তা

আপনার অ্যাকাউন্ট ও পাসওয়ার্ডের গোপনীয়তা রক্ষা করা আপনার দায়িত্ব। অননুমোদিত ব্যবহার বা নিরাপত্তা ভঙ্গ হলে অবিলম্বে আমাদের জানাবেন।

পরিষেবার পরিধি

আমরা কাস্টম মার্চেন্ডাইস, কর্পোরেট গিফটিং, ডিজাইন সাপোর্ট, সোর্সিং ও ফুলফিলমেন্ট প্রদান করি। অর্ডার কনফার্মেশনের পর উপযুক্ত সময়ে প্রডাকশন ও শিপমেন্ট সম্পন্ন হবে।

অর্ডার প্রক্রিয়া (কাস্টম)

ব্রিফ ও কোটেশন: আপনার স্পেসিফিকেশন/কোয়ান্টিটি/ডেডলাইন-এর ভিত্তিতে কোট দেওয়া হয়। কোট সাধারনত ৭–১৫ দিন বৈধ।
ডিজাইন/আর্টওয়ার্ক: প্রয়োজনীয় ফাইল ফরম্যাট (অগ্রাধিকার: ভেক্টর—AI/EPS/SVG; উচ্চ-রেজ PNG/PDF) প্রদান করবেন।
প্রুফ/মকআপ অনুমোদন: রঙ, প্রিন্ট-এরিয়া, প্লেসমেন্ট, সাইজিং নিশ্চিত করতে ডিজিটাল প্রুফ দেওয়া হবে। আপনার লিখিত অনুমোদন (ই-মেইল/পোর্টালে “Approve”) ছাড়া প্রডাকশন শুরু হয় না।
অ্যাডভান্স পেমেন্ট: অর্ডার লক-ইনের জন্য সাধারণত ৫০% অ্যাডভান্স প্রযোজ্য (কর্পোরেট টার্মস ব্যতীত)।
প্রোডাকশন টাইমলাইন: অনুমোদন ও অ্যাডভান্স পাওয়ার পর টাইমলাইন গণনা শুরু হয়। বাল্ক/মাল্টি-SKU-তে সময় বাড়তে পারে।
ডেলিভারি: এক বা একাধিক শিপমেন্টে ডেলিভারি হতে পারে; আংশিক ডেলিভারি-ও গ্রহণযোগ্য হতে পারে (চুক্তি অনুযায়ী)।

টলারেন্স, রং ও সাইজ-ভ্যারিয়েশন

রঙের ভিন্নতা: বিভিন্ন স্ক্রিন/প্রিন্টিং ব্যাচ/ফ্যাব্রিক টোনের কারণে ৩–৫% হিউ/স্যাচুরেশন ভিন্নতা শিল্পমান অনুযায়ী স্বাভাবিক। প্যানটোন ম্যাচিং অনুরোধ-সাপেক্ষ।
সাইজিং টলারেন্স: গার্মেন্টে ±1 ইঞ্চি পর্যন্ত টলারেন্স স্বাভাবিক।
প্রিন্ট/এম্ব্রয়ডারি পজিশন: ±5 মিমি পর্যন্ত পজিশন ভ্যারিয়েশন শিল্পমান অনুযায়ী স্বাভাবিক।

স্যাম্পলিং ও গুণগত নিশ্চয়তা

ডিজিটাল প্রুফ বিনামূল্যে; ফিজিক্যাল প্রি-প্রোড স্যাম্পল চার্জেবল হতে পারে।
QC: শিপমেন্টের আগে ব্যাচ-QC করা হয়। গ্রাহকের রিসিভিং-এ কোনো ত্রুটি পেলে ৪৮ ঘণ্টার মধ্যে জানাবেন।

মূল্য, ট্যাক্স ও পেমেন্ট

প্রকাশিত/কোটেড মূল্য কর/শিপিং ব্যতীত বা অন্তর্ভুক্ত—কোটে স্পষ্ট করা হবে।
প্রযোজ্য আইন অনুসারে VAT/Tax প্রযোজ্য।
বকেয়া (Balance) পেমেন্ট সাধারণত Dispatch-Before/On Delivery (কর্পোরেট টার্মস/ক্রেডিট এগ্রিমেন্ট অনুযায়ী ভিন্ন হতে পারে)।
অনলাইন পেমেন্ট ডুপ্লিকেট হলে যাচাই-সাপেক্ষে রিফান্ড হবে।

শিপিং, রিস্ক অফ লস ও ফোর্স মাজ্যুর

শিপিং ETA অনুমানভিত্তিক; আবহাওয়া/রাজনৈতিক/লজিস্টিক কারণে বিলম্ব হতে পারে।
কনসাইনমেন্ট কুরিয়ারে হস্তান্তরের পর রিস্ক অফ লস গ্রাহকের কাছে স্থানান্তরিত হয়।
ফোর্স মাজ্যুর: প্রাকৃতিক দুর্যোগ, বিদ্যুৎ/নেটওয়ার্ক ব্যাঘাত, শ্রমবিরতি, তৃতীয়-পক্ষ ব্যর্থতা প্রভৃতি কারণে দেরি/অসামর্থ্যে Texud দায়মুক্ত।

ক্যান্সেলেশন ও পরিবর্তন

কাস্টম অর্ডার: প্রুফ অনুমোদন/প্রডাকশন শুরু হওয়ার পর বাতিল করা যাবে না।
স্ট্যান্ডার্ড/নন-কাস্টম: শিপমেন্টের আগে যুক্তিযুক্ত কারণে বাতিল করা যেতে পারে।
কনফার্মেশনের পর কোয়ান্টিটি/ডিজাইন পরিবর্তন লিখিত সম্মতি ও অতিরিক্ত খরচ/টাইমলাইন সাপেক্ষে।

রিটার্ন/রিপ্লেসমেন্ট/রিফান্ড নীতি

কাস্টম পণ্য: ভুল ডিজাইন/ত্রুটিপূর্ণ প্রিন্ট/গুরুতর ডিফেক্ট হলে রিপ্লেসমেন্ট প্রাধান্য পাবে; রিফান্ড ব্যতিক্রমী।
স্ট্যান্ডার্ড পণ্য: অব্যবহৃত/অরিজিনাল প্যাক-সহ ৩ দিনের মধ্যে রিটার্ন (নীতিমালা মোতাবেক)।
ত্রুটি/শর্টশিপ/ড্যামেজ ৪৮ ঘণ্টার মধ্যে রিপোর্ট করতে হবে।
COD চার্জ/শিপিং চার্জ সাধারণত রিফান্ড-অযোগ্য।

মেধাস্বত্ব (IP) ও লাইসেন্স

আপনি যে ডিজাইন/লোগো/কনটেন্ট প্রদান করেন তা ব্যবহারের বৈধ অধিকার/লাইসেন্স আপনার আছে—এমনটি আপনি নিশ্চয়তা দিচ্ছেন।
আপনি Texud-কে আপনার সরবরাহকৃত ডিজাইন কাস্টম পণ্য তৈরির উদ্দেশ্যে অ-এক্সক্লুসিভ, বিশ্বব্যাপী, রয়্যালটি-ফ্রি লাইসেন্স প্রদান করছেন।
তৃতীয়-পক্ষ IP লঙ্ঘন/বিতর্কের দায় গ্রাহকের; Texud যথোপযুক্ত অভিযোগ পেলে প্রডাকশন/ডেলিভারি স্থগিত/বাতিল করতে পারে।

নিষিদ্ধ কনটেন্ট

অশ্লীল, ঘৃণামূলক, বেআইনি, ট্রেডমার্ক/কপিরাইট লঙ্ঘনকারী, সহিংসতা-উস্কানিমূলক, রাজনৈতিক প্ররোচনামূলক বা বিধিবহির্ভূত কনটেন্টে সেবা প্রদান করা হবে না।

ডিসকাউন্ট ও অফার

একটি অর্ডারে একাধিক ডিসকাউন্ট একসাথে প্রযোজ্য নাও হতে পারে। পেমেন্ট-গেটওয়ে অফার থাকলে কুপন প্রযোজ্য নাও হতে পারে—অর্ডার-পেজে নিয়ম স্পষ্ট করা হবে।

গোপনীয়তা

আমাদের প্রাইভেসি পলিসি এই শর্তাবলীর অংশ। প্ল্যাটফর্ম ব্যবহার করে আপনি তাতে সম্মতি দিচ্ছেন।

দায়-সীমাবদ্ধতা ও ওয়ারেন্টি ডিসক্লেইমার

পরোক্ষ/আনুষঙ্গিক/বিশেষ ক্ষতি, লাভ-ক্ষতি, ডেটা-ক্ষতি, বিলম্ব বা তৃতীয়-পক্ষ ব্যর্থতা-জনিত ক্ষতিতে Texud দায়ী নয়—প্রযোজ্য আইন যতটা অনুমোদন করে।

ক্ষতিপূরণ/ইনডেমনিটি

আপনার কনটেন্ট/নির্দেশনা/অর্ডার-সম্পর্কিত তৃতীয়-পক্ষ দাবি/আইনি ব্যয়ের বিরুদ্ধে Texud-কে আপনি ইনডেমনিফাই করবেন।

আইন ও বিবাদ-মীমাংসা

এই শর্তাবলী বাংলাদেশের আইন দ্বারা নিয়ন্ত্রিত। যে কোনো বিরোধ ঢাকা-এর আদালত ও/অথবা ঢাকা-স্থিত ব্যক্তিগত সালিশি (একক আর্বিট্রেটর) দ্বারা নিষ্পত্তিযোগ্য।

Introduction

Welcome to Texud.com (“Texud”, “we”, “us”). By accessing or using our website, apps, or services (“Platform”), you agree to these Terms. We may update these Terms at any time; the latest version published on the Platform becomes effective immediately.

Definitions

Customer/You: The purchasing party.
Custom Products: Items produced to your logo/design/specifications.
Standard Products: Ready-made/blank/branded items offered by Texud.
Design Assets: Logos, artwork, brand guidelines, color codes.
Proof/Mockup: Pre-production visuals/specs requiring your written approval.

Accounts & Security

You’re responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

Scope of Services

We provide custom merchandise, corporate gifting, design support, sourcing, and fulfillment. Production and delivery proceed after order confirmation.

Custom Order Workflow

Brief & Quotation: Issued against your specs/quantity/deadline; typically valid 7–15 days.
Design/Artwork: Provide vector files (AI/EPS/SVG) or high-res PNG/PDF per our spec.
Proof Approval: We share digital proofs showing color, print area, placement. Written approval is mandatory before production.
Advance Payment: Typically 50% to lock production (unless corporate terms apply).
Production Timeline: Starts upon approval & advance receipt. Multi-SKU/bulk may require longer.
Delivery: May ship in partial consignments if agreed.

Tolerances, Color & Sizing

Color Variation: Minor differences (approx. 3–5%) due to screens, inks, fabrics are industry-standard. Pantone matching upon request.
Sizing Tolerance: Garments may vary by ±1 inch.
Print/Embroidery Placement: ±5 mm variance is within standard.

Sampling & Quality Assurance

Digital proofs are complimentary; physical pre-prod samples may be chargeable.
QC is performed before dispatch. Report shortages/defects within 48 hours of delivery.

Pricing, Taxes & Payment

Quotes specify whether prices are inclusive/exclusive of taxes & shipping.
VAT/Taxes apply per applicable law.
Balance is due before/on delivery unless a separate credit agreement exists.
Duplicate online payments are refunded after verification.

Shipping, Risk of Loss & Force Majeure

Shipping dates are estimates; delays may occur due to weather, logistics, or other events.
Risk of loss transfers to you upon handover to the carrier/delivery.
Force Majeure: Texud is not liable for delays/failures caused by events beyond our reasonable control.

Cancellations & Changes

Custom Orders: Non-cancellable once proof is approved and/or production has started.
Standard Products: May be cancelled before dispatch for valid reasons.
Post-confirmation changes require written consent, revised pricing, and updated timelines.

Returns, Replacements & Refunds

Custom Products: Replacement is prioritized for material defects, misprints, or significant non-conformities; refunds are exceptional.
Standard Products: Return within 3 days in unused, original condition (per policy).
Report defects/shortages within 48 hours of receipt.
COD/Shipping fees are generally non-refundable.

Intellectual Property (IP) & License

You warrant that you hold all rights/licenses to use the provided logos/designs.
You grant Texud a non-exclusive, worldwide, royalty-free license to use your assets solely to produce your order and display portfolio shots unless you opt-out in writing.
You are responsible for third-party IP claims; Texud may suspend/cancel production if infringement is alleged.

Prohibited Content

We refuse orders containing obscene, hateful, illegal, inciting, or IP-infringing content, or content restricted by applicable law or our brand safety standards.

Discounts & Promotions

Only one discount may apply per order unless stated otherwise. Payment-gateway offers may invalidate coupon usage; the checkout page governs.

Privacy

Your use of the Platform is subject to our Privacy Policy, incorporated here by reference.

Disclaimer & Limitation of Liability

To the fullest extent permitted by law, Texud disclaims all implied warranties and shall not be liable for indirect, incidental, special, consequential, or exemplary damages, including lost profits, data loss, delays, or third-party failures.

Indemnification

You agree to indemnify and hold Texud harmless from third-party claims, damages, and costs (including legal fees) arising from your content, instructions, or breach of these Terms.

Governing Law & Dispute Resolution

These Terms are governed by the laws of Bangladesh. Disputes are subject to the exclusive jurisdiction of the courts in Dhaka and/or confidential binding arbitration in Dhaka before a single, legally trained, independent arbitrator.

Optional clauses you may add (if relevant to your ops)

Brand Use Consent: permission to showcase finished work in Texud portfolios/social (with opt-out).
Data Retention: duration & purpose for storing design files and order data.
CSR/Sustainability: fibers, inks, and ethical sourcing notes where applicable.
Warehousing/Fulfillment: for corporate clients using Texud stock-holding.
